c) Presentation of themes and practical cases by students.
Learning Outcomes
Overall Objective:
Critical thinking of leaders to, based on complex information, make informed business decisions.
Specific objectives
1.Distinguish the corporate types, from the perspective of corporate risk, governance, partners and stakeholders;
2.Understand the legal implications of the "corporate purpose";
3.Understand corporate sustainability, namely the ESG factors, and its effects on the duties of directors;
4. Understand the relevance of the duties of loyalty of the administrators in its relation with the business ethics in a global context.
5.Identify the liability risks and the protection instruments.
Competences:
1. Know how to choose the adequate corporate type to the characteristics of each business project;
2.know the governance of joint stock and limited companies, competences, in the perspective of the "corporate purpose" and sustainability;
3. Distinguish between licit and illicit entrepreneurial decisions;
4. Know D&O Insurance.
