Students are expected to have completed 2nd cycle Law studies, and to be proficient in English and French.

Teaching Methods

Lectures. Seminar-like preparation and discussion of the topics. Case study. Final paper and in-class participation.

Learning Outcomes

Drawing upon the legal framework, the first objective is to look at the Portuguese one and see how it fits into the regulation models available, or alternatively compare the legal solutions with those from other legal frameworks. The second objective is to realize that interests are embedded into the legal solutions. At a third moment, the objective is to learn and debate on regulation-related issues in the light of the literature and case law opinions on the matter in order to fnd solutions and answers consistent with the kind of understanding proposed. The overall objective is to gain an autonomous skill to reflect and develop one's understanding of the topics discussed and otherwise.

Syllabus

Contracts and cooperation mechanisms: identification. Company as contract and as the matricial mechanism. Shareholder's agreement, external regulation of the company's interests and its relation with company law. Groups as corporate expansion mechanisms. Joint venture and consortium: legal framework of consortium, party autonomy: consideration of some solutions; corporate joint venture and joint company - contract and company law.
