SME financing: risk and transparency

Recommended Prerequisites

Company law, the regime of private limited and public limited companies in particular; banking law; law of obligations; capital market law; proficiency in English

Teaching Methods

Seminar, with analysis of the readings assigned for each session. In class presentation of research papers and discussion.

Learning Outcomes

The course aims to develop integrated, articulate, interdiciplinary knowledge and skills in the area of company law. The bearing of information on corporate financing, on corporate access to financing instruments (capital market), on the costs of such financing will be more specifically addressed. The role of minority shareholders and how they ought to be protected from private benefits by controlling shareholders

1. Fundamental concepts: risk, transparency

2. Financing mechanisms and financing instruments for SME

3. SME transparency instruments: internal transparency of corporate finances (right to information and surveillance mechanisms) and external transparency of corporate finances (accounting, statements, accounting revisions, audits, information to the market

4. Mechanisms for managing risk in SME: organic (supervisory bodies), contractual (guarantees) and public (prudential supervision entities)
