Critical analysis of company law in action in courts, due to their role in the adjudication and the development of company law rules and principles.

Case-law on the disregard of the legal personality of companies; legal capacity of companies; transfer of shares; invalidity of resolutions taken by shareholders and board of directors; binding (or representation) of companies; civil liability of the governing bodies.
